Welcome to Harambe Inc. These Terms of Service ("Terms") constitute a legal agreement between you and Harambe Inc., a Delaware Corporation ("Company," "we," "us," or "our"). By accessing or using our website and services, you agree to be bound by these Terms.
1. Acceptance of Terms
By registering for an account, accessing our member dashboard, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.
2. Description of Services
Harambe Inc. provides the following services to approved members:
- Lead Generation: Pre-qualified consumer leads for solar installation and insurance products
- Training Programs: AI/LLM workflow tutorials, sales training, and skill development courses
- Revenue Share Program: Commission-based compensation for closed sales
- Member Support: Ongoing coaching, technical support, and performance optimization
3. Membership and Eligibility
Application Process
To become a member, you must:
- Be at least 18 years of age
- Submit a complete and accurate application
- Provide valid contact and payment information
- Pass our verification process
Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
4. Member Responsibilities
As a member, you agree to:
- Conduct yourself professionally and ethically at all times
- Follow up on assigned leads within 24 hours of receipt
- Provide accurate and truthful information to prospects
- Comply with all applicable laws, regulations, and industry standards
- Not engage in spam, harassment, or deceptive practices
- Maintain required licenses or certifications for your industry
- Report all closed sales accurately and promptly
- Protect the confidentiality of customer information
5. Revenue Share Arrangement
Commission Structure
The commission split for closed sales is as follows:
- Member Share: 40% of total commission earned
- Company Share: 60% of total commission earned
What the Company Share Covers
The Company's 60% share covers:
- Lead acquisition and qualification costs
- Platform development and maintenance
- Training content creation and updates
- Member support and coaching services
- Administrative and operational expenses
Payment Terms
- Payment Schedule: Weekly payments via PayPal
- Minimum Payout: $100 (earnings below this threshold roll over to the following week)
- Payment Processing: Payments are processed within 7 business days after the end of each week
- Valid PayPal Account Required: You must maintain a valid, verified PayPal account to receive payments
Sales Verification
All sales must be verified before commission is paid. Verification may include:
- Signed contracts or agreements
- Installation completion (for solar)
- Policy activation (for insurance)
- Payment confirmation from the end customer
6. Independent Contractor Status
You acknowledge and agree that:
- You are an independent contractor, not an employee of Harambe Inc.
- You are responsible for your own taxes, including self-employment tax
- You are not entitled to employee benefits, insurance, or workers' compensation
- You control the manner and means of your work
- You may pursue other business opportunities
7. Lead Ownership and Usage
Leads provided by Harambe Inc. are subject to the following terms:
- Leads remain the property of Harambe Inc.
- Leads are provided for your use in accordance with our services only
- You may not sell, share, or transfer leads to third parties
- You may not use leads for purposes other than those specified
- Lead data must be kept confidential and secure
8. Training and Intellectual Property
All training materials, videos, guides, and resources provided by Harambe Inc. are:
- Proprietary and protected by copyright
- Licensed to you for personal use only
- Not to be shared, reproduced, or distributed without permission
- Subject to immediate revocation upon termination of membership
9. Prohibited Activities
You may not:
- Misrepresent yourself, our company, or our services
- Engage in fraudulent or illegal activities
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Attempt to access unauthorized areas of our systems
- Interfere with the operation of our services
- Harass, threaten, or defame others
10. Termination
Termination by Member
You may terminate your membership at any time by providing written notice to us. Upon termination:
- Your access to leads and training materials will cease immediately
- You will be paid any earned commissions for verified sales
- You must cease using all proprietary materials
Termination by Company
We reserve the right to suspend or terminate your membership at any time, with or without cause, including for:
- Violation of these Terms
- Fraudulent or unethical conduct
- Failure to follow up on leads in a timely manner
- Poor performance or customer complaints
- Inactivity for an extended period
11. Disclaimers and Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Guarantees of specific income or results
- Uninterrupted or error-free service
- Accuracy or completeness of lead information
We make no guarantee that you will earn any specific amount or close any minimum number of sales. Your success depends on your skills, effort, and market conditions.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Harambe Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed the amount of commissions paid to you in the preceding three months
- We are not responsible for losses resulting from your use or inability to use our services
- We are not liable for the actions or conduct of third parties, including customers or other members
13. Indemnification
You agree to indemnify, defend, and hold harmless Harambe Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your violation of these Terms
- Your use of our services
- Your interactions with customers
- Your violation of any laws or regulations
- Infringement of third-party rights
14. Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
Arbitration
Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Harris County, Texas, in accordance with the rules of the American Arbitration Association.
Class Action Waiver
You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class action.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify members of material changes by:
- Posting the updated Terms on our website
- Sending email notification to members
Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.
16. Miscellaneous
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Harambe Inc.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
